By accessing and using HyperNest Labs' engineering consulting services, you accept and agree to be bound by the terms and provision of this agreement.

2. Service Description

HyperNest Labs provides comprehensive engineering consulting services including Fractional CTO services, Senior Full Stack development, AI/LLM engineering, technical strategy, and team integration for early-stage startups and growing companies.

3. Client Responsibilities

Provide accurate project requirements and specifications
Maintain the security of your systems and data
Comply with all applicable laws and regulations
Provide necessary access and resources for project completion
Respect intellectual property rights and confidentiality

4. Data Protection and Privacy

We are committed to protecting your personal and project information. All data is encrypted and stored securely in compliance with GDPR and other applicable privacy laws. We maintain strict confidentiality regarding your business information and technical specifications.

5. Service Availability and Delivery

While we strive to maintain high service availability and meet project deadlines, we do not guarantee uninterrupted access to our services. We reserve the right to modify or adjust project timelines with reasonable notice and client agreement.

6. Intellectual Property

All work products, code, and deliverables created specifically for your project remain your intellectual property. We retain rights to our general methodologies, frameworks, and pre-existing intellectual property used in service delivery.

7. Limitation of Liability

HyperNest Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our liability is limited to the amount paid for the specific services provided.

8. Termination

Either party may terminate services with reasonable notice as specified in individual service agreements. We may terminate or suspend services immediately for breach of these Terms of Service or non-payment of fees.

9. Payment Terms

Payment terms are specified in individual service agreements. Generally, we require payment within 30 days of invoice receipt. Late payments may incur additional fees as specified in the service agreement.
